Flash ai. — Terms of Service

These Terms of Service ("Terms") govern access to and use of the Flash ai. platform at flashcinema.ai and app.flashcinema.ai (the "Service") by an organisation ("Customer", "tenant", "you") and its authorised users. By signing up, creating an account, or using the Service, you agree to these Terms. If you are accepting on behalf of an organisation, you confirm you have authority to bind it.

1. The Service

Flash ai. is a subscription platform that helps production companies manage production operations — finance approvals, cash, documents, crew, projects, and related workflows — with AI-assisted features. We grant you a non-exclusive, non-transferable, revocable right to access and use the Service for your internal business during your subscription, subject to these Terms.

2. Accounts and access

  • You are responsible for your users, for keeping credentials secure, and for all activity under your account.
  • Staff authenticate via WhatsApp one-time passcode and admins via password; you must keep your authorised-user list current and remove people who leave.
  • You must give accurate account information and keep it updated.

3. Your data and our roles

  • You own your data. All content and personal data you upload ("Customer Data") remains yours. We claim no ownership.
  • For personal data about your crew, cast, vendors, and staff, you are the Data Fiduciary and we are your Data Processor, governed by the Data Processing Agreement, which forms part of these Terms.
  • We process Customer Data only to provide the Service, as described in the Privacy Policy and DPA, and on your instructions.
  • You are responsible for having a lawful basis (including consent where required) to upload personal data about other people, and for the accuracy of that data.

4. Acceptable use

You agree not to:

  • upload unlawful content, or personal data you have no right to share;
  • attempt to access another tenant's data, probe or bypass security, or disrupt the Service;
  • reverse-engineer the Service except as permitted by law;
  • use the Service to make automated financial or legal decisions about individuals without human review; or
  • resell or provide the Service to third parties except your own authorised users.

5. AI features

The Service uses AI to assist with documents, summaries, and questions scoped to your data. AI output is advisory and may be inaccurate. You must review AI output before relying on it. Any action affecting money, external communication, or deletion requires a human decision by your authorised users — Flash's AI does not move money or send external messages on its own.

6. Fees

Subscription fees, billing cycle, and payment terms are as agreed in your order or plan. Unless stated otherwise, fees are exclusive of applicable taxes (including GST), which you will pay. Late or failed payment may lead to suspension after notice.

7. Availability, support, and changes

  • We aim for high availability and monitor uptime, but the Service is provided without an uptime guarantee unless a separate service-level agreement is signed.
  • We may improve, change, or discontinue features. We will give reasonable notice of material adverse changes to core functionality.
  • Support is provided through the channels stated at sign-up.

8. Confidentiality

Each party will protect the other's non-public information and use it only to perform under these Terms. This does not apply to information that is public, independently developed, or lawfully obtained without a duty of confidence.

9. Intellectual property

Flash and its licensors own the Service, its software, and brand. These Terms grant no rights except the limited access right in §1. Feedback you give us may be used to improve the Service without obligation to you.

10. Suspension and termination

  • You may stop using the Service and terminate as per your plan.
  • We may suspend or terminate access for material breach (including non-payment or prohibited use), with notice and a chance to cure where practicable, or immediately where required for security or law.
  • On termination, your right to use the Service ends. We will make Customer Data available for export for a limited window and then delete it per the retention & erasure schedule, subject to legal retention requirements.

11. Warranties and disclaimer

We provide the Service with reasonable skill and care. Except as expressly stated, the Service is provided "as is" without other warranties, to the extent permitted by law. We do not warrant that AI output is accurate or that the Service will be uninterrupted or error-free.

12. Limitation of liability

To the maximum extent permitted by law:

  • neither party is liable for indirect, incidental, or consequential loss, or loss of profit, data, or goodwill; and
  • our total aggregate liability arising out of or related to the Service is limited to the fees you paid us in the 12 months before the event giving rise to the claim.

Nothing limits liability that cannot be limited by law (including for fraud, or death or personal injury caused by negligence).

13. Indemnity

You will indemnify us against third-party claims arising from your Customer Data or your breach of these Terms, including claims that your data was uploaded or used without a lawful basis.

14. Governing law and disputes

These Terms are governed by the laws of India. The courts at [JURISDICTION CITY], Kerala have exclusive jurisdiction, subject to any agreement to resolve disputes by arbitration under the Arbitration and Conciliation Act, 1996, seated at [JURISDICTION CITY].

15. General

  • Entire agreement: these Terms, the Privacy Policy, and the DPA are the whole agreement between us on this subject.
  • Changes: we may update these Terms with notice; continued use after the effective date means acceptance.
  • Assignment: you may not assign without our consent; we may assign to an affiliate or successor.
  • Severability: if a term is unenforceable, the rest remains in effect.
  • Notices: to us at privacy@flashcinema.ai (legal notices marked as such); to you at your account contact.

Flash ai. is a product of Flash Production Intelligence Private Limited. OPM Cinemas is a tenant of the platform, not the operator.
